1. Agreement to Terms

By accessing or using the Kitata mobile application ("App"), you agree to be bound by these Terms of Service ("Terms"). If you do not agree to these Terms, you may not use the App.

These Terms constitute a legally binding agreement between you and Web Catalyst LLC ("we," "us," or "our").

3. Eligibility

To use Kitata, you must:

  • Be at least 16 years of age

  • Have the legal capacity to enter into a binding agreement

  • Not be prohibited from using the App under applicable laws

  • Provide accurate and complete registration information

By using the App, you represent and warrant that you meet these requirements.

4. Account Registration

Creating an Account

To access most features of Kitata, you must create an account. When registering, you agree to:

  • Provide accurate, current, and complete information

  • Maintain and promptly update your account information

  • Keep your login credentials secure and confidential

  • Accept responsibility for all activities under your account

  • Notify us immediately of any unauthorized access

One Account Per Person

You may only create and maintain one account. Creating multiple accounts may result in termination of all accounts.

5. Acceptable Use

You Agree To:

  • Use the App in compliance with all applicable laws

  • Treat other users with respect and courtesy

  • Provide accurate information in your profile

  • Attend events you commit to or cancel with reasonable notice

  • Report inappropriate behavior or content

You Agree Not To:

  • Harass, bully, threaten, or intimidate other users

  • Post false, misleading, or deceptive information

  • Impersonate any person or entity

  • Use the App for any illegal or unauthorized purpose

  • Interfere with or disrupt the App or servers

  • Attempt to gain unauthorized access to any part of the App

  • Collect or harvest user data without consent

  • Use automated systems or bots to access the App

  • Engage in spam or unsolicited communications

  • Post content that is defamatory, obscene, or offensive

  • Promote illegal activities or substances

  • Violate the intellectual property rights of others

6. User Content

Your Content

You retain ownership of content you post on Kitata ("User Content"), including profile information, photos, messages, and reviews. By posting User Content, you grant us a non-exclusive, worldwide, royalty-free license to use, display, reproduce, and distribute your content in connection with operating the App.

Content Standards

User Content must not:

  • Contain illegal, harmful, or objectionable material

  • Infringe on intellectual property rights

  • Contain personal information of others without consent

  • Include spam, advertising, or promotional material

  • Contain malware, viruses, or harmful code

Content Removal

We reserve the right to remove any User Content that violates these Terms or that we find objectionable, without prior notice.

7. Events and Meetups

Event Participation

Kitata facilitates connections between users for social activities and events. When participating in events:

  • You are responsible for your own safety and well-being

  • You attend events at your own risk

  • You should exercise reasonable judgment when meeting others

  • You should inform someone you trust of your plans

Public Venue Policy

To promote user safety, Kitata events are designed to be held at public venues such as cafes, restaurants, parks, and other public establishments. By using Kitata:

  • You understand that events are intended to take place in public settings

  • You agree to meet other users only in public places

  • You should not arrange to meet users in private locations through the App

  • You acknowledge that public venues provide a safer environment for meeting new people

Event Hosting

If you host events through Kitata:

  • You are responsible for the accuracy of event information

  • You must select appropriate public venues for events

  • You must comply with all applicable laws and regulations

  • You may not discriminate against participants

Safety Disclaimer and Liability

Important: Kitata is a platform that facilitates introductions and event coordination. We do not:

  • Conduct background checks on users

  • Verify user identities or information

  • Monitor, supervise, or attend events

  • Control the conduct of users at events

  • Guarantee the safety of any user or event

Your Responsibility: You are solely responsible for your personal safety before, during, and after any event or interaction arranged through Kitata. This includes:

  • Traveling to and from event locations

  • Any interactions with other users outside of organized events

  • Any activities that occur after an event concludes

  • Any private meetings or follow-up interactions with users you meet through the App

Limitation: Web Catalyst LLC is not liable for any incidents, injuries, damages, or losses that occur:

  • Before or after the scheduled event time

  • Outside the designated event venue

  • During travel to or from events

  • In any private interactions between users

  • As a result of information exchanged between users

  • Due to the actions or conduct of other users

By using Kitata, you acknowledge that meeting people involves inherent risks, and you assume full responsibility for your interactions with other users.

8. Matchmaking and AI Features

Matchmaking

Kitata offers automated matchmaking to suggest compatible activity partners based on your preferences. The matchmaking system:

  • Uses your stated preferences and location

  • Provides suggestions only; you choose whether to connect

  • Does not guarantee compatibility or successful connections

  • May be modified or discontinued at any time

AI Chat Features

Kitata uses AI-powered chat assistants to enhance your experience. When using AI features:

  • AI responses are generated automatically and may not always be accurate

  • AI assistants are clearly identified in conversations

  • Do not share sensitive personal information with AI assistants

  • AI features may be modified or discontinued at any time

9. Ratings and Reviews

Behavioral Ratings

Kitata may include a rating system where users can rate their experiences with other users. By using the App, you agree that:

  • Other users may rate their interactions with you

  • Ratings may affect your visibility or features on the App

  • You will provide honest and fair ratings

  • Manipulation of ratings is prohibited

Reviews

Reviews must be honest, accurate, and based on genuine experiences. We reserve the right to remove reviews that violate these Terms.

10. Fees and Payments

Free and Paid Features

Kitata may offer both free and paid features. If you purchase paid features:

  • You agree to pay all applicable fees

  • Fees are non-refundable unless otherwise stated

  • We may change pricing with reasonable notice

  • You are responsible for any applicable taxes

Subscriptions

If you subscribe to premium features:

  • Subscriptions automatically renew unless cancelled

  • You may cancel at any time through your app store settings

  • Cancellation takes effect at the end of the current billing period

11. Intellectual Property

Our Property

The App, including its design, features, content, and technology, is owned by Web Catalyst LLC and protected by intellectual property laws. You may not:

  • Copy, modify, or distribute the App

  • Reverse engineer or decompile the App

  • Use our trademarks without permission

  • Create derivative works based on the App

Feedback

If you provide suggestions or feedback about the App, we may use it without compensation or obligation to you.

12. Third-Party Services

The App may integrate with third-party services. Your use of third-party services is subject to their respective terms and privacy policies. We are not responsible for third-party services.

13. Disclaimer of Warranties

THE APP IS PROVIDED "AS IS" AND "AS AVAILABLE" WITHOUT WARRANTIES OF ANY KIND, EXPRESS OR IMPLIED. WE DISCLAIM ALL WARRANTIES, INCLUDING:

  • MERCHANTABILITY

  • FITNESS FOR A PARTICULAR PURPOSE

  • NON-INFRINGEMENT

  • ACCURACY OR RELIABILITY OF CONTENT

  • UNINTERRUPTED OR ERROR-FREE SERVICE

WE DO NOT WARRANT THAT THE APP WILL MEET YOUR REQUIREMENTS OR EXPECTATIONS.

14. Limitation of Liability

TO THE MAXIMUM EXTENT PERMITTED BY LAW, WEB CATALYST LLC SHALL NOT BE LIABLE FOR:

  • INDIRECT, INCIDENTAL, SPECIAL, OR CONSEQUENTIAL DAMAGES

  • LOSS OF PROFITS, DATA, OR GOODWILL

  • DAMAGES ARISING FROM USER CONDUCT OR CONTENT

  • DAMAGES EXCEEDING THE AMOUNT YOU PAID US IN THE PAST 12 MONTHS

SOME JURISDICTIONS DO NOT ALLOW LIMITATION OF LIABILITY, SO THESE LIMITATIONS MAY NOT APPLY TO YOU.

15. Indemnification

You agree to indemnify and hold harmless Web Catalyst LLC, its officers, directors, employees, and agents from any claims, damages, losses, or expenses arising from:

  • Your use of the App

  • Your violation of these Terms

  • Your User Content

  • Your interaction with other users

16. Termination

By You

You may terminate your account at any time by deleting your account through the App settings.

By Us

We may suspend or terminate your account at any time, with or without cause, including for:

  • Violation of these Terms

  • Conduct harmful to other users or the App

  • Extended periods of inactivity

  • Legal or regulatory requirements

Effect of Termination

Upon termination:

  • Your right to use the App ceases immediately

  • Your account data will be deleted according to our Privacy Policy

  • Provisions that should survive termination will remain in effect

17. Dispute Resolution

Governing Law

These Terms are governed by the laws of the State of Delaware, United States, without regard to conflict of law principles.

Informal Resolution

Before filing any legal claim, you agree to contact us at admin@webcatalyst.io and attempt to resolve the dispute informally for at least 30 days.

Arbitration

Any disputes not resolved informally shall be resolved through binding arbitration in accordance with the rules of the American Arbitration Association. Arbitration shall take place in Delaware, and the arbitrator's decision shall be final.

Class Action Waiver

You agree to resolve disputes with us on an individual basis. You waive your right to participate in class actions or class arbitrations.

18. Changes to Terms

We may modify these Terms at any time. When we make material changes:

  • We will update the "Last Updated" date

  • We will notify you through the App or via email

  • Continued use after changes constitutes acceptance

If you disagree with changes, you must stop using the App and delete your account.

19. General Provisions

Entire Agreement

These Terms, together with our Privacy Policy, constitute the entire agreement between you and us regarding the App.

Severability

If any provision of these Terms is found invalid, the remaining provisions will continue in effect.

No Waiver

Our failure to enforce any right or provision does not constitute a waiver of that right or provision.

Assignment

You may not assign your rights under these Terms. We may assign our rights without restriction.
